These Terms of Use ("Terms") govern your access to and use of the website medclinicpartners.com and all related services, portals, and content (collectively, the "Platform") operated by RESEARCH SCIENCES LLC d/b/a MedClinic Partners ("Company," "we," "us," or "our").

BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PLATFORM.

The Platform is intended exclusively for licensed medical professionals, licensed pharmacies, and their authorized business representatives. Access by or on behalf of individual consumers or patients is not permitted.

1. Nature of Services — Facilitation Only

RESEARCH SCIENCES LLC d/b/a MedClinic Partners is a B2B facilitation and matchmaking platform only. We connect licensed medical clinics, practices, and pharmacies with FDA-registered, DEA-compliant, and cGMP-certified 503A and 503B compounding pharmacies and Research Use Only (RUO) product suppliers.

Our role is analogous to that of a marketplace intermediary such as Expedia or Travelocity — we facilitate introductions and connections between parties but are not a party to any transaction that results from those introductions. Specifically, RESEARCH SCIENCES LLC:

• Does not manufacture, compound, dispense, or distribute any pharmaceutical product or RUO material;
• Does not take title to, possession of, or custody over any pharmaceutical or RUO product at any time;
• Does not act as a pharmacy, licensed wholesaler, distributor, or reseller of any regulated product;
• Does not provide medical advice, clinical recommendations, or prescriptions;
• Does not engage in the practice of medicine or pharmacy;
• Does not guarantee the availability, pricing, quality, or regulatory status of any product offered by a third-party supplier.

All pharmaceutical transactions occur directly between the licensed professional and the licensed compounding pharmacy or supplier. RESEARCH SCIENCES LLC is not a party to, and bears no liability for, those transactions.

2. Eligibility and Professional Verification

Access to the Platform and its portal is restricted to:

• Licensed physicians, nurse practitioners, physician assistants, and other licensed prescribers;
• Licensed pharmacists and licensed pharmacy entities (503A and 503B);
• Authorized administrative or business representatives of the above;
• Individuals who are at least 18 years of age.

By submitting a portal access application, you represent and warrant that you hold all required professional licenses in good standing in the state(s) where you practice, and that all information you provide is accurate, current, and complete.

We reserve the right to verify your credentials, deny or revoke access at any time, and report suspected fraudulent applications to appropriate regulatory authorities.

3. Research Use Only (RUO) Products

To access RUO product information or supplier introductions through the Platform, you must execute a separate RUO Certification Agreement in which you certify, under penalty of perjury, that:

• You are a licensed professional with authority to acquire RUO materials in your jurisdiction;
• The RUO products will be used solely for lawful research purposes;
• You will not use, direct the use of, or facilitate the use of RUO products for human or animal administration outside of applicable legal frameworks;
• You understand that misuse of RUO products may constitute a federal or state criminal offense.

RESEARCH SCIENCES LLC does not manufacture, compound, label, or distribute RUO products. All regulatory obligations regarding acquisition, storage, handling, and use of RUO products remain solely with the acquiring professional and their institution. By accessing RUO product information through the Platform, you agree to indemnify and hold harmless RESEARCH SCIENCES LLC from any claim, liability, or regulatory action arising from your acquisition or use of RUO products.

4. 503A and 503B Compounding — Regulatory Acknowledgment

The Platform facilitates connections with 503A and 503B compounding pharmacies. By using the Platform, you acknowledge that:

• 503A compounded preparations require a valid patient-specific prescription under applicable federal and state law;
• 503B outsourcing facilities may supply certain compounded preparations to licensed practitioners without a patient-specific prescription, subject to applicable FDA guidance and state law;
• Compounded preparations are not FDA-approved drug products and have not been evaluated for safety, efficacy, or quality by the FDA;
• You are solely responsible for ensuring that your acquisition and use of compounded preparations complies with all applicable federal and state laws, including DEA regulations where controlled substances are involved.

RESEARCH SCIENCES LLC makes no representations regarding the regulatory status, quality, or compliance of any compounding pharmacy or product accessible through the Platform. Verification of pharmacy credentials and product compliance is your responsibility.

5. SMS Communications

By providing your mobile phone number and submitting a portal application or inquiry form, you consent to receive SMS text messages from RESEARCH SCIENCES LLC d/b/a MedClinic Partners related to your application status, portal access, compliance updates, and service notifications.

• You must be 18 years of age or older to consent to SMS communications.
• Standard message and data rates may apply.
• Message frequency varies based on account activity.
• Reply STOP to opt out at any time. Reply HELP for assistance.
• We do not share your mobile number with third parties for their own marketing purposes.

A2P 10DLC Disclosure: Our SMS messages are sent via a registered Application-to-Person (A2P) messaging program. Consent to receive SMS is not a condition of portal access or any purchase.

Carrier Liability Disclaimer: Delivery of SMS messages is subject to effective transmission from your wireless carrier and is not guaranteed. Wireless carriers are not liable for delayed or undelivered messages. RESEARCH SCIENCES LLC and its messaging partners are not responsible for message delays, failures, or non-delivery caused by carrier networks, device compatibility issues, or circumstances beyond our reasonable control.

6. Prohibited Uses

You agree not to use the Platform to:

• Submit false, misleading, or fraudulent professional credentials or licensure information;
• Acquire or attempt to acquire pharmaceutical products or RUO materials for unauthorized purposes;
• Circumvent, disable, or interfere with security features of the Platform;
• Scrape, harvest, or systematically collect data from the Platform without written authorization;
• Violate any applicable federal, state, or local law or regulation, including DEA, FDA, and state pharmacy board regulations;
• Impersonate any person or entity or misrepresent your professional credentials;
• Transmit any malicious code, virus, or disruptive technology;
• Use the Platform on behalf of any unlicensed entity or individual.

7. Intellectual Property

All content on the Platform — including text, graphics, logos, images, data compilations, and software — is the property of RESEARCH SCIENCES LLC or its licensors and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for its intended B2B professional purposes. You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any content from the Platform without our prior written consent.

8. Disclaimers

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. RESEARCH SCIENCES LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Platform will be uninterrupted or error-free; (b) any compounding pharmacy or supplier accessible through the Platform is currently licensed, compliant, or in good standing; (c) any product accessible through the Platform meets applicable quality or regulatory standards; or (d) any information on the Platform is accurate, complete, or current.

Nothing on the Platform constitutes medical, legal, regulatory, or professional advice. You should consult qualified professionals before making any clinical, compliance, or business decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RESEARCH SCIENCES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, REGULATORY PENALTIES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR ANY PRODUCT OR SERVICE OBTAINED THROUGH THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100.00).

10. Indemnification

You agree to indemnify, defend, and hold harmless RESEARCH SCIENCES LLC, its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including DEA, FDA, or state pharmacy board regulations; (d) your acquisition, use, or misuse of any pharmaceutical product or RUO material; or (e) any misrepresentation of your professional credentials or licensure status.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

12. Modifications to the Platform and Terms

We reserve the right to modify, suspend, or discontinue the Platform or any part thereof at any time without notice. We also reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date.

Your continued use of the Platform after any modification to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in Wyoming. You consent to personal jurisdiction in those courts and waive any objection to venue.

Notwithstanding the foregoing, RESEARCH SCIENCES LLC may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

14. Miscellaneous

• Entire Agreement. These Terms, together with our Privacy Policy and any executed RUO Certification Agreement, constitute the entire agreement between you and RESEARCH SCIENCES LLC regarding the Platform.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.
• No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
